CONTEXT ENGINE PROPRIETARY SOFTWARE LICENCE AGREEMENT Version and effective date: 30 July 2026 This agreement is between Context Engine App Ltd, company number 17357482, 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom ("Licensor"), and the person or organisation accepting it ("Customer"). The Context Engine Community Preview Terms and Conditions and Privacy Policy also apply. If an individual accepts for an organisation, that individual confirms that they have authority to bind it. 1. SOFTWARE "Software" means the proprietary Context Engine executable, updates, documentation, and other first-party materials distributed under this agreement. It includes the proprietary technology embodied in context-engine-core but does not grant access to its source code or internal interfaces. Identified third-party materials remain governed by their own licences. 2. LIMITED OBJECT-CODE LICENCE Before acceptance, an unmodified object-code binary may be downloaded and installed only to review this agreement and obtain an entitlement. Download or installation alone does not authorise execution or use. Subject to recorded acceptance, continued compliance, a valid individual API key, and the applicable entitlement, Licensor grants Customer a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to: - install and execute the Software in object-code form on systems controlled by Customer; - use the Software for personal, non-commercial evaluation and development as a consumer or for internal evaluation and development as a business user; and - connect Customer's own agents, tools, and development workflows through publicly documented external interfaces. Only copies technically necessary for permitted installation, execution, and backup may be made. Notices must be preserved. The no-charge Community Preview has no guaranteed duration, availability, support, or minimum access period. It does not permit production deployment, commercial reliance, redistribution, or third-party benchmarking without Licensor's written agreement. 3. RESERVED RIGHTS The licence does not permit Customer to access, receive, compile, modify, or use first-party source code or non-public build material; link against, embed, incorporate, expose, or redistribute context-engine-core or another internal component; operate the Software as a hosted, managed, multi-tenant, OEM, or service-bureau product; or create a product that supplies the Software's functionality to third parties. Source access, in-process integration, embedding, redistribution, OEM use, and third-party product integration require a separate written agreement signed by Licensor. 4. RESTRICTIONS Except where applicable law expressly prevents a restriction, Customer must not: - sell, resell, sublicense, rent, lease, lend, publish, distribute, transfer, or assign the Software; - copy it except as expressly permitted above; - modify, adapt, translate, or create a derivative work; - reverse engineer, decompile, disassemble, decode, extract, or attempt to discover source code, non-public interfaces, algorithms, data structures, techniques, or trade secrets; - bypass or interfere with an account, entitlement, licence key, signature, usage limit, or access control; - remove or alter proprietary notices; - use information derived from prohibited analysis to reproduce material functionality of the Software; or - use the Software unlawfully or contrary to the Terms and Conditions. Non-waivable statutory interoperability rights remain available only to their minimum lawful extent and subject to their statutory conditions. 5. OWNERSHIP AND CUSTOMER MATERIAL The Software is licensed, not sold. Licensor and its licensors retain all rights in the Software and related technology. Customer acquires no ownership, source, redistribution, patent, trademark, or integration rights. Customer retains its rights in source code and other material supplied to the Software and in results produced from that material during permitted operation, subject to Licensor's rights in the Software. Voluntary feedback may be used by Licensor without restriction or payment. Customer must not provide feedback it is not authorised to license on that basis. 6. ACCOUNTS AND TECHNICAL ENFORCEMENT Each person using the Software must have a valid individual API key. Accounts, keys, and entitlement files must be kept confidential and must not be shared. The Software may contact Licensor's service to validate authenticity, entitlement, version, revocation status, and applicable limits. Licensor may refuse validation when an entitlement expires or is revoked, credentials appear compromised, or the Terms or this agreement are breached. Personal data is processed as described in the Privacy Policy. 7. UPDATES, SUPPORT, AND CHANGES Licensor has no obligation to provide maintenance, support, updates, or new versions unless agreed in writing. Updates remain subject to this agreement unless supplied with different terms. Material agreement changes apply only as permitted by law and, where required, after renewed acceptance. 8. TERM AND TERMINATION This agreement begins on recorded acceptance. Customer may end it at any time by stopping use and deleting the Software. Licensor may suspend access or terminate for material breach, infringement, circumvention of technical protections, or security or legal risk. Licensor may also discontinue the no-charge Preview. For consumers, Licensor will act fairly and give notice where reasonably practicable unless immediate action is needed for security, legal compliance, misuse, or service integrity. When access ends, Customer must stop using and delete the Software and credentials, except for copies the law requires Customer to retain. 9. WARRANTIES To the maximum extent permitted by law, the Software and all results are provided "as is" and "as available", with all faults. Licensor disclaims warranties that law permits it to disclaim. Customer is responsible for reviewing actions and results, protecting repositories and credentials, maintaining backups, and deciding whether the Software is appropriate. Nothing excludes a consumer right, statutory term, or remedy that applicable law does not allow the parties to exclude. 10. LIABILITY Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate misconduct, or another liability that cannot lawfully be excluded or limited. For a consumer, liability is governed by applicable consumer law and the consumer provisions in the Terms and Conditions. For a business user, to the maximum extent permitted by law, Licensor is not liable for lost profits, revenue, savings, business, goodwill, data, or use; business interruption; substitute services; or indirect, special, exemplary, punitive, incidental, or consequential loss. Licensor's aggregate liability is limited to the greater of the amount the Customer paid for the Software during the preceding 12 months or EUR 100. 11. EXPORT AND SANCTIONS Customer must comply with applicable export-control, sanctions, import, and trade laws. Community Preview access is not offered to a person located or ordinarily resident in Russia, Iran, or North Korea, or for use from, in, for, or for the benefit of those locations. 12. GOVERNING LAW This agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction for business users. For consumers, this choice does not remove mandatory protections of the country where the consumer habitually resides. A consumer may bring proceedings in any court that mandatory consumer law permits. 13. GENERAL Customer may not transfer this agreement or an entitlement. Licensor may transfer it with the relevant business or assets, provided consumer rights are not reduced. If a provision is unenforceable, the remainder continues. A delay in enforcing a right is not a waiver. This agreement, the Terms and Conditions, and any signed order form the agreement concerning the Software.
